Evernorth Holdings has cleared a major regulatory hurdle on its path to becoming a publicly traded XRP treasury company after the U.S. Securities and Exchange Commission declared its Form S-4 registration statement effective on Aug. 27.
The development moves Evernorth’s proposed merger with Armada Acquisition Corp. II into its next critical phase: a shareholder vote scheduled for Sept. 30. If investors approve the transaction and the remaining closing and Nasdaq requirements are satisfied, the combined company is expected to trade on Nasdaq under the ticker XRPN.
The SEC’s decision does not constitute approval of the merger, its fairness or its investment merits. It simply means the registration statement is effective, allowing Armada II to formally proceed with the shareholder vote.
“This vote is one of the last key milestones before Evernorth’s debut as a public company on Nasdaq,” Evernorth said.

Shareholder Vote Comes Into Focus
Armada II shareholders of record as of Aug. 20 will be eligible to vote on the proposed business combination at the Sept. 30 meeting.
The transaction combines Evernorth with Armada II, a special purpose acquisition company sponsored by Arrington Capital. Evernorth first publicly detailed the deal in March, when it filed its S-4 registration statement with the SEC.
That filing provided investors with a detailed look at Evernorth’s plan to offer public-market exposure to XRP through an actively managed corporate treasury. The company said it had raised more than $1 billion in gross proceeds from institutional and strategic investors, including Ripple, SBI Holdings, Pantera Capital, Kraken and Arrington Capital.
The S-4 covers securities involved in the transaction, including up to 34,499,992 Class A common shares and 11,499,992 warrants.
If shareholders approve the merger, the transaction is expected to close in late Q3 or early Q4, subject to customary conditions. Nasdaq listing requirements and exchange approval would still need to be satisfied before trading begins.
Evernorth Targets an Active XRP Treasury
Evernorth is not presenting itself as a simple buy-and-hold crypto company. Its strategy centers on actively managing its XRP holdings with the goal of increasing the amount of XRP held per share over time.
The company plans to pursue that objective through yield generation, XRP lending, liquidity provision, decentralized finance and other forms of participation in the XRP ecosystem.
According to CoinGecko, Evernorth currently holds approximately 473.2 million XRP, representing about 0.473% of the token’s total supply. At recent prices, those holdings are worth roughly $635 million.
The company also intends to deploy capital into infrastructure connected to the XRP Ledger, including projects involving tokenized assets, on-chain credit and settlement systems.
That strategy reflects Evernorth’s broader thesis that blockchain infrastructure will play a growing role in institutional finance.
“Evernorth is designed to accelerate XRP’s role in that work,” CEO and founder Asheesh Birla said, arguing that institutional finance will increasingly be built on-chain.

Public Equity Instead of Direct XRP Exposure
If the merger is completed, Evernorth would give investors a way to gain exposure to XRP through shares of a publicly traded company rather than by directly holding the token.
The distinction could appeal to investors seeking a regulated public-market vehicle tied to XRP while allowing Evernorth to operate an active treasury strategy.
The company has emphasized XRP’s potential roles in liquidity, collateral, routing and settlement, while also seeking to support applications across the XRP Ledger. Its plans extend to infrastructure designed for institutional participation in tokenized assets and on-chain credit markets.
Evernorth is also working with t54, a financial technology company focused on verification, risk and compliance tools for AI-powered transactions. The partnership is intended to support the monitoring and management of automated treasury activity on the XRP Ledger.
Still, the strategy carries a different risk profile from simply holding XRP. Evernorth will need to demonstrate that its active management, ecosystem investments and capital-markets operations can generate value for shareholders without exposing the company to excessive market or operational risk.
Revised Financing Terms Could Affect the Deal
The transaction’s economics have also changed as the merger has progressed.
Revised financing terms announced in August replaced an earlier fixed XRP benchmark of $2.36 with a volume-weighted average price based on XRP’s market value at closing.
The adjustment could affect the number of shares issued through the private placement and, in turn, the proportional ownership represented by Armada II shares. The final economics will therefore depend partly on where XRP trades when the transaction closes.
XRP has recently been trading around $1.34, according to the figures provided, down about 8.4% over seven days and over 26% over the past month. Its market capitalization stands at roughly $84.3 billion.
The token’s recent performance provides a favorable backdrop for Evernorth’s planned listing, but the company’s longer-term prospects will depend on more than XRP’s price appreciation.
Nasdaq Listing Still Has One Major Step
The SEC’s effectiveness declaration removes an important procedural obstacle, but Evernorth has not yet completed its transformation into a public company.
The Sept. 30 shareholder vote is now the key milestone. If Armada II investors approve the transaction, the parties can move toward closing while completing the remaining conditions and Nasdaq listing requirements.
For XRP investors, the potential debut would mark a significant development in the institutionalization of the token. Rather than simply buying XRP directly, public-market investors could gain exposure through a company built around XRP treasury management and activity on the XRP Ledger.
But the model remains largely unproven.
For now, Evernorth’s path to Nasdaq comes down to the Sept. 30 vote. A shareholder approval would put the company within reach of its planned XRPN debut and give the XRP market a new publicly traded treasury vehicle to watch.
